Article I
Name and Object
Section 1.
This organization shall be known as the David W. Wallace Squadron of the Arnold Air Society.
Section 2.
The objectives of the organization shall be:
A. Create a more efficient relationship among Air Force officer candidates, in particular within AFROTC.
B. Aid in the development of effective Air Force officers.
C. Further the purpose, traditions, and concepts of the United States Air Force.
Section 3.
These objectives are to be met through service projects to be determined by an appointed committee or by the Squadron Commander with the approval of the Executive Board.
Section 4.
This organization will adhere to the provisions and spirit of the National Constitution.
Article II
Membership
Section 1. Classes of Membership
There shall be Four (4) classes of membership:
Active, inactive, associate and honorary.
Section 2. Membership Requirements
A. General: To become a member of The Arnold Air Society, a person must.
1. Have a 2.0 in Aerospace Studies, a 2.0 in the remainder of his/her college courses with a cumulative GPA of 2.0 or higher overall and maintain these standards to remain in good standing. If the semester or cumulative GPA falls below a 2.0 the member will be put on inactive status and be given one conditional semester to bring his or her GPA to the required level.
2. Must be in the AFROTC or contracted with the United States Air Force.
3. Successfully complete a period of candidacy as established by this squadron and accepted by a review board to consist of active members appointed by the commander.
4. If a member is dis-enrolled form AFROTC under conditions which are less than favorable, he/she will be dismissed from Membership in Arnold Air Society.
B. Active Membership: Active members are those who have paid the local dues and fees and their national dues to the Financial Officer. They must also be in good standing with their college and with this AAS squadron. Active members are entitled to full voting privileges within this squadron.
C. Inactive Membership: Any active member may be granted, by the Executive Board, Inactive Membership at anytime he/she is unable to continue in the Air Force ROTC program for personal reasons, provided that he/she is expresses a desire to continue active membership upon his/her return to eligibility for such membership and that such membership and return is possible. Such a member must have served as an active member for at least one semester and complied with all dues and debts, and complied with al legal orders of his superior officers.
D. Associate Membership: The members of any group which supports the objectives of the Arnold Air Society may be designated as associated members of the society by either National Conclave or by individual squadrons with the approval of the Executive Board of Directors.
E. Honorary Membership: Any local Squadron may, by unanimous vote of its membership, elect to honorary membership any person of persons whose individual merits and contributions the Arnold Air Society warrant recognition by initiation.
Section 3. Arnold Air Insignia
Actives, Honorary and Candidates (with prior approval) may wear Arnold Air Society insignia as stated in AFROTC uniform regulations.
Section 4. Disciplinary Action
A. Any member who misses three (3) mandatory meetings or functions per semester as designated by the commander, will appear before the Executive Board for disciplinary action.
1. Ranges of Disciplinary Actions, from warnings up to suspension will be determined by the Executive board.
2. Dismissal requires a 2/3 vote of the active members in good standing in the AAS squadron.
Article III
Organization
Section 1. Duties of Officers
Squadron Officers shall have the duties outline below as well as additional duties assigned to them by the squadron commander or squadron regulations. In addition, they shall assume all duties commensurate with their position that might arise in the course of conducting squadron business. Duties of the squadron officers are as follows:
A. Commander: The commander shall preside over all squadron and staff meetings. He/ she shall be responsible for carrying out all squadron business and activities. He/she shall enforce these by-laws, squadron regulations and all legislation of the squadron or the staff, as well as that of a higher headquarters. He/she shall have authority to create, man and appoint any committees that might be necessary for the conduct of squadron matter arising between squadron offices. He/she shall have the authority to make decisions on any squadron matter arising between squadron or staff meetings. He/she will keep all squadron member informed of such decisions and they will be considered binding unless they are rejected by the squadron members or staff at the first meeting.
B. Administrative officer/Vice Commander: There shall be one vice commander appointed by the squadron commander with the approval of the active members. He/she shall be second in command and shall assume command in the absence of the commander. He/she shall assume interim command in the case of vacancy in the office of the commanding officer until it is properly filled. At the discretion of the commanding officer, he/she shall form any committee necessary for the fulfillment of any immediate goal, to include the AFROTC affairs committee.
C. Operations officer: the operations offices shall be third in command of the squadron and shall be responsible for the scheduling and implementing all squadron meetings and activities. He/she shall coordinate such activities with the activities of all concerned organizations.
D. Information officer: the information officer shall be fourth in command of the squadron and shall act as recording and corresponding secretary of the squadron. He/she shall take and publish accurate meeting minutes of all squadron and staff meetings. He/she shall maintain all squadron files and records and maintain an accurate file of incoming and outgoing correspondence. He/she shall prepare all the necessary forms for submission to the national Arnold Air Society.
E. Comptroller/Financial officer: the comptroller/financial officer shall be fifth in command of the squadron and shall be responsible for all financial transactions of the squadron. He/she shall be responsible for the collection of dues and fines, payments of bills and the maintenance off all squadron funds and financial records. He/she shall maintain accurate, logical and up-to-date records of all financial transactions and shall prepare all required financial reports and forms.
F. Public affairs officer: the PA officer shall be the sixth in command of the squadron and shall be responsible for all public relations activities and information. He/she shall be responsible for submitting to higher headquarters all required information reports. He/she shall make all possible publicity for the squadron in whatever media are appropriate.
G. Pledge training officer: the pledge training officer shall be responsible for the pledge training program as outlined in the pledge manual. He/she shall insure that all cadets applying for active membership in the David W. Wallace Squadron adhere to this program and are qualified to be initiated into the squadron.
Section 2. Impeachment
Any AAS commander may be impeached by a two-thirds vote of the squadron for improper conduct, neglect of duty or failure to carry out the objectives of the AAS the validity of the impeachment will be determined by the national commander who will take appropriate action.
Section 3. Dismissal
Any staff officer may be dismissed by his/her commander for improper conduct, neglect of duty of failure to carry out the objectives of the AAS. This is with the approval of the executive board.
Section 4. Nominations
A Squadron commanders: nominations for squadron commander shall be made from the floor to the meeting immediately preceding the one in which the elections are held. Only active members in good standing the semester of elections are eligible to be nominated. Nominees and their individual platforms will be discussed on the day of elections. Election of the commander will be held with sufficient time for selection and approval of staff officers prior to installation.
Section 5. Executive Board
The squadron staff shall form the executive board.
A. This board shall enforce all the rules and regulations of this squadron and of the national conclave. It shall have general interim authority to act for the squadron wherein it is impossible to secure a quorum of members for the meeting except in those areas requiring a 2/3 vote of membership. It shall have general supervision over the squadron on matters not sufficiently important to warrant action by the entire squadron in meetings. The executive board shall meet as a body not less than once a month
B. The executive board shall have the authority by and with the consent of the faculty advisor of expenditures up to $25.00 without legislation.
Article IV
Meetings
Section 1.
Meetings of this squadron shall be held at the discretion of the executive board with a minimum of two meetings month during the academic year. All regular meetings will be mandatory unless prior approval to miss is give by the squadron commander. At executive meetings, the executive board shall have the voting privileges; all other members are invited to attend as ex-officio (non-voting) members.
Section 2.
A quorum for the transaction of business shall be done more than half of the active members of the squadron.
Section 3.
The entire membership in meetings shall have the general authority, unless otherwise provide herein, to make such general laws, rules and regulations for the governing of this squadron. Such legislation shall not be inconsistent with the National Constitution. Only active members shall have the power to amend these by-laws and to vote in election of the commander. Unless otherwise provided in these articles, a majority vote of the quorum present shall exercise the will of the squadron.
Section 4.
Special meetings shall be held at the discretion of the squadron officers upon written request of one-third of the active members of this squadron. Request shall state time, place and the purpose of the meeting, and no other business shall be conducted at this meeting. Due notice of such a meeting must be given to all members before such a meeting may be held.
Section 5.
All voting, except for the election of the squadron commander shall be done by a show of hands or voice vote unless a roll call or a secret ballot is directed by the commanding officer and/or an squadron officer when in command or by any member from the floor when such a motion is seconded and accepted by a two-thirds majority. The Squadron commander shall have only a deciding vote.
Section 6.
Roberts Rules of Order, Revised should govern this squadron and its parliamentary authority.
Article V
Finances
Section1. Dues and Assessments
Squadron members will pay National, Area, Squadron Arnold Air Society dues and Assessments and/or squadron dues and
assessments in accordance with the chart below:

** Indicates that this class of member may be assessed only for attendance at squadron activities paid for out of squadron funds.
Section 2. Establishment of Dues
Dues will be established and the amount specified by the appropriate authority.
A. National: This Includes national, area and wing/region dues and assessments. Such dues will be paid as established by the above authorities.
B. Squadron: Squadron dues will be established by a 2/3 majority vote of the squadron. Squadron regulation will be published prescribing the amount set.
Section 3. Payment of Dues
All dues will be paid to the squadron Comptroller/Financial Officer or appointed representative. Such dues will be paid within the time period allotted for payment. Squadron regulations will be published concerning the procedures for payment and the time allotted.
Section 4. Initiation Fees
Initiation fees may be charged of new active squadron members. Such fees will be established by a 2/3 majority vote of the squadron.
Procedures for payment of such fees and the amount of such fees shall be outlined in squadron regulations.
Section 5. Use of Funds
Non-specified funds will be expended for the good f he squadron. No funds in excess of $25.00 may be expended
without simple majority approval of the squadron. All checks issued for squadron expenditures must be signed by one of the following:
the squadron commander, the Deputy Commander and the Comptroller/Financial Officer.
ARTICLE VI
Silver Wings
Section 1.
As provided by the national constitution as AAS and Angel Fight/Silver Wings can be formed on this campus to function as
the auxiliary of this squadron and carry out the objectives as herein stated in Article I.
ARTICLE VII
Amendments to the By-Laws
Section 1.
These by-laws may be named or abolished by a 2/3 vote of all active members in good standing.
Such a vote may be taken in a regular or special meeting provided that notice of the proposed
amendment to be voted upon is posted on the AAS bulletin board for two weeks prior to the meeting.
ARTICLE VIII
Dismissal and Suspension
Section 1. Dismissal and Suspension
If for any reason, disinterest or negligence is shown by any active member of the squadron or if the member has had three unexcused absences from mandatory meetings or activities, or if the member has failed to pay dues in the allotted time, the member may be called before the squadron staff to be considered for dismissal or suspension. Dismissal will be permanent unless otherwise decided by the squadron. Suspension will be for a period up to one academic semester as prescribed by the squadron staff. Such suspension must be approved by a 2/3 majority vote of this squadron. If the member concerned fails to appear when called before the staff, the above actions may still be carried out.
Section 2. Dismissed members
Dismissed members shall not be permitted to wear the insignia of the Arnold Air Society. They shall lose all privileges of squadron and national membership. Any dismissed member may apply for re-instatement to active membership, but must complete the pledge program again. Reinstatement may be granted upon approval of ¾ of the active members of the squadron.
Section 3. Suspended Members
Suspended members shall not be permitted to wear the insignia of the Arnold Air Society and shall lose all privileges of squadron and national membership. At the end of the suspension period, the squadron staffs will review the suspended member’s records. At this time the staff may take whatever further action they deem necessary. Reinstatement will require a 2/3 majority vote of the squadron staff, along with approval of the squadron membership. Other actions and their requirements will be determined by a 2/3 majority vote of the squadron staff, also with the approval of the squadron members.
Section 4. Initiation
Formal initiation of all new active members will take place as prescribed by the squadron. Procedures to be followed will be specified by National Arnold Air Society and squadron commander.
Section 5. Resignation
Any member of the squadron may resign his membership by submitting a letter of resignation to the squadron commander. Such resignation shall be resignations in both the squadron and national Arnold Air Society.
ARTICLE IX
Discipline
Section 1. Disciplinary actions
Members will be subject to disciplinary actions according to their class of membership. The only types of disciplinary actions that may be employed are as follows:
A. Letter of reprimand: the squadron commander may issue a letter of reprimand to any squadron member who demonstrates disinterest or negligence, misses three consecutive meetings or activities, fails to pay dues or assessments within the allotted time or otherwise violates squadron by-laws or regulations. A member receiving such a letter will reply by endorsement within one week of receipt as to corrective actions taken or intended.
B. Suspension and Dismissal: if a member continues to display the conduct outlined in paragraph A above, even after the issuance of a letter of reprimand, or if the original act is extremely serious, the member may be called before the squadron staff, after a one week written notice, and considered for suspension or dismissal in accordance with Article VIII of these by-laws.
Article X
Hazing
Section 1
In accordance with AFROTC 45-29, Chapter 3-4g, no member or members will take undue advantage of, nor inflict cruelty upon subordinates, including hazing, indignity, oppression, or deprivation of any right of advantage to which they are legally entitled.
